Terms of Service
1. Who we are
ValutrixOS™, including its assistant Trovix™ SI, is operated by Slab Emporium LLC ("we", "us"), a Texas limited liability company. Contact for legal notices: Slab Emporium LLC, Texas · 143 Exchange Blvd, Ste 300 #2156, Hutto, TX 78634 · admin@slabrepublic.com · support@slabrepublic.com. By creating an account or using ValutrixOS at valutrixos.com you agree to these Terms and our Privacy Policy. Slab Emporium LLC also sells its own items on ValutrixOS under the name "Slab Emporium" (see 6B).
2. Age and location
- You must be at least 18 years old to use ValutrixOS. When you sign up you confirm you are 18 or older. We don't knowingly let anyone under 18 use ValutrixOS, and we close accounts that belong to minors.
- For now ValutrixOS is US only: you must live in the United States, and buying, selling and shipping happen within the United States.
3. Your account
Keep your login private. You're responsible for what happens on your account. Use a password you don't use anywhere else. We may approve, pause or close accounts that break these Terms.
4. Pre-Grade estimates
The ValutrixOS Pre-Grade is an estimate based on the condition scores you enter. It is not an official grade from PSA, BGS, CGC, SGC or any grading company, and it doesn't promise what a grading company will give your item. Don't describe a Pre-Grade as an official grade when you sell.
5. Values and prices
Any value shown for your items comes from what you enter, a sold price you paste, or an estimate you ask for. We don't guarantee any value or price. Check real sold listings before you buy or sell.
6. Marketplace
The Marketplace connects buyers and sellers. ValutrixOS is a venue. Members list their own items and buyers pay sellers directly through PayPal Goods & Services. Except for items sold by Slab Emporium (see 6B), Slab Emporium LLC is not the seller, doesn't own, inspect, store, grade, authenticate or ship the items, and is not a party to the sale or to the PayPal payment. The contract for each sale is between the buyer and the seller. We don't guarantee any item, listing, seller or buyer. Sellers pay a platform fee from the seller fee ladder (10% by default; 8% at $500+ and 10+ sales; 6% at $5,000+ and 50+ sales; 4% at $50,000+ and 250+ sales; 3% at $500,000+ and 1,000+ sales. Both the lifetime total sold on ValutrixOS and the lifetime number of sales must be met to reach a tier). The fee is shown before you list. ValutrixOS's seller fee is earned when the sale completes and isn't refunded if you later refund the buyer. Stripe and PayPal processing fees follow their own rules. Sellers must describe items honestly, including condition and any grading. See Refunds, Returns & Disputes.
What you can list
Physical collectibles only: trading cards (raw, graded and sealed), comics, and other physical collectibles you have in hand. No digital items, codes, NFTs or gift cards. Fan-made items are allowed only when they are entirely your own original work, and they are held for review before they go live. Custom or fan-made versions of trademarked or copyrighted items are not allowed, and you must have the right to sell what you list.
Offers
Buyers can make an offer on a listing. The seller can accept, counter or decline. An accepted offer becomes the price for that buyer, and the same seller fee ladder applies to it. Auctions aren't available yet. Every sale is fixed-price. No auctions, bidding or timed sales.
Shipping
The buyer pays shipping. The seller sets the shipping price on the listing (or free shipping), and it's shown before you buy. Shipping is paid to the seller with the item; the ValutrixOS fee is on the item price only. Sellers ship within the United States.
Orders, shipping deadlines and tracking
- Every sale is an order with a timeline: paid, waiting to ship, shipped, delivered, completed (or cancelled, refunded, or problem reported). The buyer and the seller can see their own orders; ValutrixOS staff can see all orders to help with problems.
- The seller must ship within 2 US business days (weekends and US federal holidays don't count; times are US Central). If there's no tracking number by the deadline, the order is cancelled automatically and the seller must refund the buyer through the payment provider.
- Orders over $20 need a tracking number from USPS, UPS or FedEx. An order can only be marked completed once tracking has been added.
- Stamped envelope (orders of $20 and under): if the seller offers it, the buyer can choose a plain stamped envelope (the seller sets the price, about $1.25). It has no tracking and no “didn't arrive” protection. The order is marked completed when the buyer confirms, or 7 days after the seller marks it shipped. “Not as described” reports still work once the buyer says it arrived.
- Orders over $20 can't use a stamped envelope; tracking is required.
- Orders over $250 must be shipped with insurance for the full price. Orders over $500 also need signature on delivery. The seller confirms this when adding tracking.
- After delivery the buyer has 48 hours to tap Confirm received or report a problem in the order record. If the buyer says nothing, the order is marked completed.
- Buyers can rate the seller only after a completed order. A seller's public sales history shows completed sales.
- ValutrixOS doesn't hold, store or move your money. Buyers pay sellers through the payment provider at checkout (for example PayPal Goods & Services), and refunds and disputes go through that provider's process. ValutrixOS only collects its own seller fee. Refunds are between the buyer and the seller, under the return policy the seller picked on the listing, and go through that provider. ValutrixOS doesn't issue, approve or decide them.
Payments and buyer confirmation
ValutrixOS doesn't hold, store or move your money. Buyers pay sellers through the payment provider at checkout (for example PayPal Goods & Services), and refunds and disputes go through that provider's process. ValutrixOS only collects its own seller fee. After delivery, the buyer can tap Confirm received or report a problem within 48 hours. If the buyer says nothing, the order is marked completed. Confirm received, tracking and problem reports are records and reminders in your order history, not a hold on any money, and they don't shorten any right you have with the payment provider or your card issuer.
Chargebacks (sellers)
A chargeback is when a buyer’s bank or card company takes back a payment. Seller fee is retained unless Stripe forces a reversal. Creator revenue is reversed proportionally if a buyer disputes. Subscription chargebacks follow Stripe rules. Marketplace sale reversals follow PayPal outcomes. To protect yourself: ship with tracking, use signature confirmation on orders over $500 and insurance on orders over $250, keep clear photos of the item and the package, and answer disputes quickly with that proof. Repeated chargebacks caused by a seller can lead to a ban. A buyer who files false chargebacks can be banned too.
6A. Seller duties
As a seller you are fully responsible for your items and listings, including: that you own the item and have the right to sell it; that it is authentic and matches your photos and description, including condition, grade and edition; following all laws that apply to you, including consumer-protection, product-safety and tax laws; collecting and paying any sales tax you owe (ValutrixOS doesn't collect sales tax on members' sales today); packing, shipping, tracking and delivery; and returns you offer and resolving problems with your buyer.
- Altered, cleaned, pressed and reprinted items: you must disclose. If an item has been cleaned, pressed, flattened, trimmed, recolored, restored, re-backed or otherwise altered, say so clearly in the title or the first line of the description, and tick the matching box when you list. Official reprints (made or licensed by the original publisher) must be labeled as reprints. Trovix SI adds an "Altered" or "Reprint" tag when you tick the box. Undisclosed alterations count as "not as described." Listings that hide them may be removed and can lead to a ban. Not allowed: counterfeits, unofficial reprints, proxies, resealed packs or boxes, fake slabs or labels, and custom or fan-made versions of trademarked or copyrighted items.
- Grades. Graded items must show the grading company and certification number. Never describe a Pre-Grade, a Trovix SI estimate or your own opinion as an official grade, and don't use grading-company logos. Custom slabs and display cases must be described as custom and must not copy a grading company's label, certificate number or hologram.
- Shipping. Ship within the time you state, or within 2 US business days if you state none. Ship to the address on the buyer's PayPal transaction, with tracking when required.
- Payments. Take marketplace payments only through PayPal Goods & Services using the payment button on the listing. Never ask a buyer to pay by Friends & Family, gift cards, crypto, wire or any method outside the listing.
- Disputes between members. ValutrixOS doesn't issue, process, approve or decide refunds between members. Each seller picks a return policy when listing, and it's shown on the listing. Ask the seller first (use Message on the listing or order). If you can't agree, use your payment provider's process, for example PayPal Purchase Protection or a card dispute through Stripe or your bank. ValutrixOS doesn't hold money, so it can't force or block a refund. What we do: keep the order record and listing snapshot so both sides can show what was agreed, take reports, and remove listings or suspend accounts that break the rules, with appeals. Sellers must record any refund in the app, with the payment ID, so both sides have a record. ValutrixOS doesn't issue or hold refunds. On the order, tap Record a refund (full or partial, PayPal / Stripe / other, and the transaction or receipt ID; never a card or account number). The buyer taps Got it or Not received. Not recording a refund, or a buyer's Not received, can be reported, and ValutrixOS may act on the account; it doesn't decide the money. It isn't a court or arbitration, and it doesn't limit your rights.
The full Seller Policy collects these rules in one place.
6B. Items sold by Slab Emporium
Slab Emporium LLC, the company that runs ValutrixOS, also sells its own items here. These listings carry a "Sold by Slab Emporium" badge. For these sales, Slab Emporium LLC is the seller and is responsible for the item, its description, shipping and returns, as any seller is. Our listings follow the same listing, disclosure, shipping and dispute rules as every member. They get no hidden ranking boost or placement other members can't get. We don't use other sellers' non-public data to price or choose our items. Seller fee: because the platform fee would be paid to ourselves, our listings don't pay it, and we show that here. Texas sales tax (8.25%, on the item and shipping) is added to our sales shipped to Texas addresses. Returns: you can return an item bought from Slab Emporium within 30 days of delivery. If it isn't as described, we pay return shipping; otherwise the buyer does. Disputes about our own sales are handled under PayPal's process, and our staff don't use special powers to decide them in our favor. We can't hide or remove honest reviews of our shop.
7. Pack cards, demo packs and XP
Cards pulled from ValutrixOS packs (including free demo packs), XP, ranks and badges are for fun inside ValutrixOS. They have no cash value, can't be exchanged for money or sold, and aren't property you own outside the app. Packs are not available: paid packs are not on sale and pack demos are not open to members. If that changes, the Packs & Chance Disclosure will be updated first.
8. Card shows and the Showroom Floor
Keep content about collectibles and within ValutrixOS's content standard (see section 9). Live streaming is not offered to members. Selling at in-person card shows (show mode) and in Showroom Floor booths is fixed-price only. Showroom Floor booths are for sellers approved by the founder; any booth fee or Vendor Pass price is shown before paying. Breaks, auctions, bidding, giveaways and any chance-based sales are not available. Phase 1 has no paid breaks and no pack sales. No raffles, no "buy to enter" giveaways, no wheels, dice or spin-to-win, and no paid chance games of any kind.
9. Listing and content rules
Content standard. ValutrixOS is for adults 18 and older. Everything on ValutrixOS, including listings, profiles, posts, chat, Showroom Floor booths and anything made with SI or other generated content, must follow this content standard. No graphic violence or gore, no sexual content or nudity, no hate, and nothing illegal.
These are never allowed on ValutrixOS, in listings, profiles, chat, Showroom Floor booths or anywhere else:
- Gambling, betting, lotteries, raffles, sweepstakes or any paid chance to win.
- Breaks are not available on ValutrixOS in Phase 1. Don't sell, run or promote paid breaks, spots or random team assignments on ValutrixOS or in a show linked from ValutrixOS.
- Counterfeits, unofficial reprints, proxies, replicas, resealed packs or boxes, fake slabs, fake or swapped labels, fake grading, and custom or fan-made versions of trademarked or copyrighted items.
- Stolen cards or goods.
- Scams, marketplace fraud (shill buying, fake sales, bait-and-switch) and chargeback abuse.
- Pretending to be another person, shop or seller.
- Harassment, threats and hate speech.
- Adult or sexual content.
- Political campaigning or political messages.
- Cards pulled from ValutrixOS packs offered for money.
- Trying to hack, abuse bugs in, or get around the rules of ValutrixOS.
- Reprints or proxies sold as originals, and altered items without the disclosure in 6A.
- Recalled products, or products that don't meet federal safety rules. Children's products (for ages 12 and under) without the certificate federal law requires.
- Weapons, ammunition, alcohol, tobacco or vape products, drugs, or anything that needs a license to sell.
- Digital items, codes, NFTs, gift cards or cash equivalents.
- Items you don't have in hand, unless clearly labeled Preorder with a ship date.
- Items using someone else's trademark, characters or artwork when you don't have the right to use them.
- Asking a buyer to pay by PayPal Friends & Family or any method outside the listing.
- Anything else that is illegal, or that would put Slab Emporium LLC out of line with the law or our payment providers' rules.
ValutrixOS checks new listings for some of these and may block them. Cards that show public figures are fine; campaigning isn't.
10. Reports, Trovix Court and penalties
Trovix Court is ValutrixOS's internal review tool. It isn't a court, arbitration or legal process, and it doesn't limit your legal rights or your payment provider's dispute process.
Anyone can report a listing, a user or a Showroom Floor booth. Reports, evidence and every decision are logged. ValutrixOS may warn, remove listings, limit selling, suspend or ban accounts that break these Terms or the Seller Policy, at its discretion, with appeals. SI may sort a report and suggest a flag, but only a person at ValutrixOS takes any account action. Account actions are about rules, not money: we don't issue, approve or decide refunds between members. Penalties usually go step by step (warning, limit, timed suspension, ban), and serious cases (scams, counterfeits, stolen items, fraud) can skip steps. Every action comes with a notice naming the rule, and you can appeal it within 30 days from Settings or the notice. If an appeal succeeds, the penalty is removed. We don't share one member's report details with other members, and public profiles only show neutral status such as "Account suspended" or "No longer active".
Repeat infringers. We track valid copyright notices against each account and terminate, in appropriate circumstances, the accounts of members who are repeat infringers. As a rule, three valid notices that weren't successfully countered within 12 months lead to termination, and we may act sooner for clear or willful infringement. See our DMCA and repeat-infringer policy.
11. Verified sellers
Sellers can ask for a "Verified seller" badge once they have 5 completed sales (completed orders with payment confirmed) and an active ValutrixOS Pass. We give it only after a person at ValutrixOS approves it, and we can remove it. Only verified sellers with an active ValutrixOS Pass can go live. The badge means we checked the seller's account; it is not a promise about any single item.
12. SI features
Trovix SI = Sovereign Intelligence (SI), the internal reasoning and governance layer of ValutrixOS. Trovix SI can be wrong, so double-check anything important. See Sovereign Intelligence (SI).
Trovix SI is your in-app assistant. Its price checks, value ranges, market notes and pre-grades are estimates generated by software. They are not appraisals, not official grades from PSA, BGS, CGC, SGC or any grader, not authentication, and not financial or tax advice. Estimates can be wrong or out of date. Check real sold listings and use a professional grader before relying on them. Its books and tax-date features are informational only: Trovix SI never files or pays taxes for you. You are responsible for anything Trovix SI drafts or does for your shop that you approve or publish, including listing text and prices. Trovix SI works only with your own shop's information.
13. Payments and ValutrixOS Pass
Payments are processed by Stripe and PayPal. We never see or store your card number. Prices are always shown before you pay. ValutrixOS Pass is billed by Stripe: Monthly $19.99/mo, Yearly $179.99/yr, or Founding Member $99/yr. Every plan starts with a 7-day free trial, then auto-renews at the plan price until you cancel. Cancel anytime in your Stripe receipt or billing link; you keep access until the period ends. Payments aren't refunded except where the law requires. Platform fees, Passes, booths and SI Boost Packs are non-refundable, except where the law requires. Founding Member ends after the first 500 members or on Dec 31, 2026, whichever comes first. Your $99/yr Founding price stays the same for as long as your membership renews without a break.
SI chats and Boost Packs
SI chats and Boost Packs. Free accounts get 10 SI chats a day and ValutrixOS Pass gets 200. Chats refill at midnight Central and unused daily chats don't carry over. An SI Boost Pack is $9.99 for 100 extra chats, used after your daily chats run out. Boost Pack chats don't expire while your account is open. They have no cash value, can't be transferred, and end if your account is closed for breaking these Terms. Boost Pack payments aren't refunded except where the law requires.
14. Things you can't do
- Break the law, sell counterfeits or stolen goods, or misrepresent items.
- Anything listed in the listing and content rules.
- Try to get paid features without paying, or interfere with ValutrixOS's security.
- Copy or scrape ValutrixOS or other users' content without permission.
- Post fake reviews, review your own listings, or have friends, family or helpers rate you without saying so. Don't ask for or pay for reviews.
14A. Your license and no copying
Slab Emporium LLC gives you a personal, limited, non-exclusive, non-transferable, revocable license to use ValutrixOS for your own collecting and selling, under these Terms. ValutrixOS, Trovix SI, the app, its design, code, features, text and the data in it (including listings, prices, sales records and catalog data) belong to Slab Emporium LLC or its licensors, except the content you own (see Your content). You may not:
- scrape, crawl, harvest or bulk-download listings, prices, sales, catalog or member data, by bot, script or any automated means, except search engines following our robots.txt;
- copy, reproduce, resell or republish the service or its content or data, or use them to build a competing database or service;
- reverse-engineer, decompile, disassemble or try to extract the source code, models or engines, except where the law allows it despite this limit;
- clone, mirror or frame ValutrixOS, or copy its look, features or flows to pass off another service as it or as connected to it;
- get around rate limits, access controls, paid-feature checks or anti-bot measures, or use the service through anything other than the app and the pages we provide.
ValutrixOS™ is a trademark of Slab Emporium LLC. Don't use them, or anything confusingly similar, without written permission. We may block access, end accounts and take legal action for breaking this section.
15. Disclaimers and limits
VALUTRIXOS, TROVIX SI AND ALL FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT THE LAW ALLOWS, SLAB EMPORIUM LLC DISCLAIMS ALL WARRANTIES ABOUT THE SERVICE, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT ITEMS SOLD BY OTHER MEMBERS. Items sold by Slab Emporium come only with the description on the listing and the return policy in 6B.
To the extent the law allows, Slab Emporium LLC won't be liable for indirect, incidental, special, consequential or punitive damages, lost profits, or losses from disputes between members. Our total liability for any claim about the service is limited to the greater of $100 or the amount you paid us in the 12 months before the claim. This doesn't limit liability that can't be limited by law, or our responsibility as the seller for items sold by Slab Emporium. Nothing in these Terms limits rights you have under laws that can't be waived, including the Texas Deceptive Trade Practices Act. Your data is saved in your browser unless you use an account that syncs, so keep a backup (Settings → Export).
15A. Indemnity
If someone makes a claim against Slab Emporium LLC because of your listings, items, sales, content or your breaking these Terms or the law, you agree to cover our reasonable losses and costs, including reasonable attorney's fees. We'll tell you about the claim and let you help defend it.
15B. Disputes with Slab Emporium LLC
Before filing a claim, email support@slabrepublic.com with "Legal dispute" in the subject and give us 30 days to try to fix it. Either side may bring a qualifying claim in small-claims court.
15C. Your content
You keep ownership of what you post. You give Slab Emporium LLC a non-exclusive, royalty-free permission to host, display, copy and format it inside ValutrixOS, and to show your public listings in search and share links, until you delete it, plus a reasonable time for backups and legal records. We don't use your content to train our SI or any outside AI.
15D. Account termination and what survives
We may remove listings, or pause, freeze or close accounts that break these Terms or the law, or that put buyers, sellers or Slab Emporium LLC at risk. We'll usually warn you first, except for serious cases (fraud, counterfeits, stolen goods, safety). You can appeal within 30 days from Settings. You can close your account any time; open orders must still be completed or refunded. If your account closes, the sections on fees owed, open orders, content license for already-shared items, disclaimers, limits, indemnity, disputes and governing law keep applying.
16. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where the law where you live says otherwise.
17. Changes
We may update these Terms. We'll change the date above, and for big changes we'll let you know in the app.
